The specific features available may vary between Rescrito and Aithor depending on the plan purchased, the device or operating system used, the application version, the access channel, the User’s country or region, the language, technical availability and the updates implemented from time to time.

1.2. Purpose of the Agreement

These Terms and Conditions govern access to and use of Rescrito and Aithor, which are available through rescrito.com, aithor.ai and aithor.io, as well as through their web applications, mobile applications for iOS and Android, extensions, integrations, interfaces, content, features and associated services.

All such websites, applications, interfaces and services are hereinafter collectively referred to as the “Platforms”.

These Terms apply to all persons who access or use the Platforms, hereinafter referred to as the “User”, whether through free or trial options or through subscriptions, credit purchases or any other available paid option.

By creating an account, purchasing a subscription, acquiring credits, starting a paid trial or expressly accepting these Terms through the mechanisms provided for this purpose, the User confirms that they have read, understood and accepted these Terms and agree to be bound by them.

Merely accessing informational pages of the Platforms shall not, in itself, constitute acceptance of contractual obligations that require express consent. However, access to certain features may be conditional upon prior acceptance of these Terms.

The Platforms may offer, among other things, features relating to:

The creation, editing, transformation and analysis of content using artificial intelligence.
Interaction with virtual assistants and conversational systems.
The processing of documents, files, images, audio recordings, videos, links and web pages.
The extraction, searching, structuring and organisation of information.
The preparation of assignments, documents, study materials, presentations and multimedia content.
The personalisation of the user experience and the retention of context across conversations through memory features.
The management of conversations, projects, files, preferences and settings.
Any other tool consistent with the general nature and purpose of the Platforms.

The User agrees to use the Platforms responsibly, ethically, lawfully and in accordance with these Terms, while respecting third-party rights, applicable academic or professional standards and the conditions established by Chatbot App Limited.

1.3. Changes to the Terms and the Platforms

Chatbot App Limited may amend or update these Terms and Conditions, as well as the characteristics, features, models, integrations or services offered through Rescrito and Aithor, where there is a valid reason for doing so.

Changes may be made, among other reasons, in order to:

Adapt the Platforms to legal, regulatory or security-related changes.
Introduce new features, tools, artificial intelligence models or integrations.
Introduce personalisation features, conversational memory, cross-device synchronisation or other improvements to the User experience.
Improve, expand, reorganise or replace existing features.
Correct errors, vulnerabilities or compatibility issues.
Adapt the services to technological changes or to the requirements, limitations or conditions of third-party providers.
Improve the security, stability, performance or scalability of the Platforms.
Prevent fraud, abuse, misuse or breaches of these Terms.
Modify the commercial structure, plans, usage limits or subscription options.
Adapt the Platforms to new devices, operating systems, application stores or distribution channels.
Discontinue features that have become obsolete, present risks, have limited usage or depend on third-party services that are no longer available.

The introduction of new features that fall within the general nature and purpose of Rescrito and Aithor shall not necessarily require these Terms to be amended.

However, where a new feature involves the processing of personal data, a purpose, a category of data, a provider or an international data transfer that is substantially different, Chatbot App Limited shall update the Privacy Policy or provide the relevant additional information before such processing begins.

Minor technical, operational or purely informational changes that do not significantly affect the User’s rights or obligations may be communicated by publishing them on the Platforms, through application release notes or by means of an in-service notification.

Material changes shall be communicated with reasonable advance notice by email, through a notification within the Platforms or by any other appropriate durable medium. The communication shall specify the nature of the change, its effective date and, where applicable, the options available to the User.

Where a change has a significant adverse effect on the User’s access to or use of a feature included in a paid service, the User may cancel their subscription and terminate the agreement without penalty before the change takes effect or within the period provided for under applicable law.

Where applicable, the User shall receive a proportionate refund of any amount paid in advance for the period of service that the User is unable to use as a result of the change.

Price changes shall generally apply from a subsequent renewal period and shall be communicated in advance. The User may cancel the renewal before the new price becomes applicable.

Where applicable law requires the User’s express acceptance of a change, Chatbot App Limited shall request such acceptance before applying the new terms.

In all other cases, where the User continues to use the Platforms after being informed of a change and after that change has taken effect, the User shall be deemed to have accepted the updated Terms, without prejudice to any mandatory consumer rights that cannot be waived.

If the User does not agree to the changes, they must stop using the Platforms and, where applicable, cancel their subscription before the specified effective date.

  1. Registration and Use

2.1. Use of the Platforms

The above list is illustrative and not exhaustive. The Platforms are continuously evolving and may introduce new tools, models, formats, integrations and modes of use, as well as improve, reorganise, replace or discontinue existing features.

The introduction of a new feature falling within the general nature and purpose of the Platforms shall not necessarily require these Terms to be amended. Where a new development significantly affects the User’s rights, a paid service or the processing of the User’s personal data, the relevant information or notification shall be provided.

The specific features available may vary between Rescrito and Aithor depending on the plan purchased, the credits available, the User’s country or region, the language, the device, the operating system, the application version, the access channel, technical availability and the updates implemented from time to time.

Certain mobile application features may require device permissions, such as access to photographs, files, the camera, microphone or notifications. These permissions shall be requested when necessary to use the relevant feature and may be managed through the device settings. Refusing a permission may prevent the feature that depends on it from operating, without necessarily affecting the remainder of the Platforms.

The User agrees to use the Platforms ethically, lawfully and in accordance with these Terms. In particular, the User must not use them to:

Commit, facilitate, promote or conceal unlawful, fraudulent or deceptive activities.
Infringe intellectual or industrial property rights, privacy, data protection, image rights, reputation, confidentiality or any other third-party rights.
Generate, store or disseminate content that is unlawful, threatening, discriminatory, violent or intended to cause harm.
Impersonate third parties or present content generated using artificial intelligence as authentic where doing so may mislead or cause harm.
Breach applicable academic, professional, employment-related or institutional rules.
Submit content or personal data belonging to third parties without having sufficient authorisation, a lawful basis or an adequate right to do so.
Attempt to gain unauthorised access to the Platforms’ systems, accounts, data, models or infrastructure.
Interfere with the operation, security, integrity or availability of the services.
Circumvent usage limits, restrictions, access controls, payment systems or security measures.
Use the Platforms in any other manner contrary to applicable law or these Terms.

Chatbot App Limited may temporarily or permanently restrict, suspend or terminate the User’s access where there are reasonable grounds to suspect unlawful, fraudulent, abusive use or use contrary to these Terms, where this is necessary to protect the security of the Platforms or third parties, or where required by law.

Where circumstances permit, the User shall be informed of the action taken and the reasons for it. In serious or urgent cases, or cases relating to fraud, security, unlawful activities or risks to third parties, the restriction may be imposed without prior notice.

2.2. User Registration

To access certain features of Rescrito and Aithor, the User must create a personal account using the forms or registration systems made available on the Platforms.

Registration may be completed using an email address and password or, where available, through external authentication services, such as sign-in services provided by Apple, Google or other compatible providers.

Where the User uses an external authentication service, the relevant provider’s terms and privacy policies may also apply.

During the registration process, basic information may be requested, such as a name or alias, email address and any other information necessary to create, verify, administer and protect the account.

The User agrees to provide information that is truthful, accurate, current and complete, and to keep it up to date while using the Platforms. Chatbot App Limited shall not be liable for any damage, loss or access difficulties arising from false, incorrect, incomplete or outdated information provided by the User.

Each account is personal and non-transferable. As a general rule, only one account may exist for each email address or User identity. Creating, controlling or using multiple accounts is not permitted for the purpose of:

Improperly obtaining free periods, credits, discounts, promotions or other benefits.
Circumventing usage limits, restrictions, suspensions, blocks or measures applied to another account.
Accessing features or services for which the User is not authorised.
Manipulating recommendation systems, promotions, commercial trials or usage metrics.
Impersonating another person or carrying out fraudulent activities.

Where necessary, the User must verify their email address or complete other reasonable authentication procedures before gaining full access to certain features. If the required verification is not completed, some features may remain restricted or unavailable.

The User is responsible for maintaining the confidentiality of their login credentials and taking reasonable measures to protect their account. The User must not share passwords, verification codes or authentication mechanisms with unauthorised third parties.

The User must notify Chatbot App Limited without undue delay of any unauthorised access, loss of credentials, suspicious activity or security incident of which they become aware.

The same account may be used on different devices unless restrictions are imposed by the plan purchased, applicable security measures or technical limits. Chatbot App Limited may terminate active sessions, require re-authentication or limit simultaneous access where necessary to protect the account or prevent abusive use.

Chatbot App Limited may refuse a registration or restrict, suspend or terminate an account where there are reasonable grounds to suspect fraud, abusive duplication of accounts, impersonation, a breach of these Terms or a risk to the security of the Platforms or third parties.

Where circumstances permit, the User shall be informed of the action taken and the reasons for it. In serious or urgent situations, or situations relating to fraud, security, circumvention of restrictions or legal obligations, the measure may be applied without prior notice.

2.3. Licence to Use

Upon registering for or accessing Rescrito or Aithor, Chatbot App Limited grants the User a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence, in accordance with these Terms, to access and use the Platforms and their features for as long as the User maintains a valid account, has available credits or holds an active subscription.

The licence covers the use of the official websites, web applications, mobile applications, extensions, interfaces and integrations made available by Chatbot App Limited.

The licence is granted exclusively for lawful educational, academic, personal or professional purposes, in accordance with the plan purchased, the applicable usage limits and these Terms and Conditions.

This licence does not transfer to the User any intellectual or industrial property rights in the Platforms, including, without limitation, their software, code, interfaces, designs, trade marks, logos, databases, documentation, architecture, systems, configurations, features and proprietary content.

Models, technologies, libraries, content or components provided by third parties belong to their respective owners and may be subject to their own licences and terms of use.

Content submitted by the User and outputs generated from the User’s instructions do not form part of the licence relating to the Platforms. Ownership of and conditions governing the use of such content and outputs shall be determined by the relevant sections of these Terms, applicable law and, where appropriate, the terms of the technology providers used.

Where an application has been downloaded through the Apple App Store, Google Play or another application store, the User acknowledges that the store acts as a distribution channel and that its terms relating to the download, updating, purchase, subscription and use of the application may also apply.

Unless Chatbot App Limited has provided prior express authorisation, or applicable law permits otherwise, the User must not:

Reproduce, copy, modify, distribute, communicate to the public, license, sell, rent or commercially exploit the software, interfaces, documentation, designs or any other proprietary element of the Platforms.
Access the Platforms using bots, scripts, scraping systems, data-mining tools, automated tools or methods other than the interfaces, integrations and mechanisms expressly made available.
Reverse engineer, decompile, disassemble or attempt to obtain the source code, internal architecture, system instructions, private configurations or security mechanisms of the Platforms, except to the extent expressly permitted by mandatory law.
Circumvent usage limits, access controls, payment systems, security measures or technical restrictions.
Extract data, content, responses or features on a large-scale or systematic basis for the purpose of copying, reproducing, training or developing a substantially similar or competing product or service.
Share, transfer or make login credentials available to third parties unless the plan purchased expressly permits use by multiple members.
Resell, sublicense, rent or commercialise access to the Platforms without express authorisation.
Use the Platforms, their content or their outputs to infringe third-party rights or breach applicable law.

A breach of these conditions may result in the restriction, suspension or termination of the account, taking into account the nature and seriousness of the conduct and the provisions of these Terms.

Where necessary, Chatbot App Limited may take the appropriate legal action to protect its rights, systems and legitimate interests.

2.4. User Responsibility

The User is responsible for their use of Rescrito and Aithor and agrees to:

Maintain the confidentiality of their login credentials and not share them with unauthorised third parties.
Provide information that is truthful, accurate, current and complete, and keep it up to date while using the Platforms.
Use the Platforms and their features ethically, diligently, lawfully and in accordance with these Terms.
Take reasonable measures to prevent unauthorised access to their account and sign out when using shared devices.
Keep the operating system, application and security measures of their device up to date, where reasonably possible.
Notify Chatbot App Limited without undue delay of any unauthorised access, loss of credentials, misuse of their account or security incident of which they become aware.
Review and verify content generated using artificial intelligence before using, publishing, submitting, applying or sharing it with third parties.
Comply with any academic, professional, employment-related or institutional rules applicable to the use of content generated or assisted by artificial intelligence.
Refrain from submitting, generating, storing or sharing unlawful content or content that infringes third-party rights, including copyright, intellectual or industrial property rights, privacy, data protection, image rights, reputation, confidentiality or trade secrets.
Not submit personal data, confidential information or content belonging to third parties without having a sufficient lawful basis, authorisation or right to do so.
Review and manage information stored through memory or personalisation features where such features are enabled.
Avoid submitting particularly sensitive, secret or confidential information to the Platforms where it is not necessary for the requested feature.

The User shall be responsible for activities carried out through their account where those activities result from their actions, instructions or culpable failure to comply with their security obligations.

The User shall not be responsible for unauthorised access that is not attributable to them, provided that they notify Chatbot App Limited of the incident without undue delay after becoming aware of it and reasonably cooperate in its investigation.

The User represents that they have all rights, licences, authorisations and lawful bases necessary to submit, upload, process or share the content they provide through the Platforms.

This representation does not mean that the User must own all such content, but rather that the User must have sufficient authorisation, a licence, a lawful basis or other grounds for the specific use made of it.

To the extent permitted by applicable law, the User shall be liable for direct losses, claims and reasonable costs arising from:

An intentional or culpable breach of these Terms.
Unlawful activity carried out through their account.
An infringement of third-party rights attributable to the User.
The unauthorised submission or use of personal data, documents or content belonging to third parties.
Fraudulent or abusive use of the Platforms.

Such liability shall be determined by reference to the specific circumstances, the User’s involvement, the degree of fault and the damage actually caused.

Nothing in this section shall limit any mandatory consumer rights available to the User.

2.5. Conversational Memory and Personalisation

Rescrito and Aithor may offer conversational memory features intended to personalise responses, maintain continuity between interactions and tailor certain features to the User’s preferences and needs.

Where memory is available and enabled, the Platforms may identify and retain relevant information obtained from conversations or provided directly by the User, such as:

Language and communication preferences.
Preferred writing style, tone or format.
Academic, personal or professional objectives.
Projects, subjects, topics or areas of interest.
Recurring instructions.
Preferences relating to the tools and features used.
Other contextual data that may be useful for future interactions.

Stored information may be used in subsequent conversations and synchronised across the websites and applications associated with the same account.

Where the feature permits, the User may have options to:

Enable or disable memory.
View the stored information.
Correct inaccurate or outdated information.
Delete specific items.
Delete all stored memory.
Indicate that particular information should not be remembered.

Deleting a conversation shall not necessarily result in the automatic deletion of information previously added to memory. Where conversations and memory are managed separately, the User must also delete the relevant memory through the applicable settings.

The interface shall inform the User of the effects of disabling memory, including whether the stored information will be deleted or retained until the User requests its deletion.

Memory is generated and used through automated processes and may therefore contain incorrect interpretations, incomplete information or outdated data. Chatbot App Limited does not guarantee that memory will retain all information provided or apply it correctly in every response.

The User should review and correct stored information where necessary and avoid submitting particularly sensitive data or confidential information that is not essential.

The availability, capacity, retention period and operation of memory may vary depending on Rescrito or Aithor, the plan purchased, the country or region, the device, the application version and the updates implemented from time to time.

Data used by this feature shall be processed in accordance with the Privacy Policy. Information stored in memory shall not be used to train artificial intelligence models for any purpose other than providing or personalising the service unless the User is informed in advance and a valid lawful basis exists.

  1. Artificial Intelligence Systems and Features
3.1. Interaction with Artificial Intelligence Systems

Through Rescrito and Aithor, Users may interact with artificial intelligence systems to generate, analyse, transform, research, organise and manage content tailored to their educational, academic, personal or professional needs.

Interaction may take place directly through the Platforms’ websites and mobile applications or through compatible extensions, interfaces, integrations and external services made available from time to time.

Features may include, among other things:

Creating instructions or “prompts” to generate text, summarise information, answer questions, conduct analyses or prepare documents.
Generating, proofreading, rewriting, paraphrasing, translating, humanising and adapting content.
Processing and extracting information from documents, PDF files, images, audio recordings, videos, links, web pages and other compatible formats.
Research, search and information organisation tools, citation generation and the preparation of study materials.
Creating presentations, images, charts, diagrams and other text-based or multimedia content.
Configuring parameters, preferences, styles, formats and contexts to tailor outputs to the User’s needs.
Interacting with different artificial intelligence models and providers depending on the feature used and service availability.
Using contextual information from the current conversation and, where the memory feature is available and enabled, relevant preferences or data retained from previous conversations.
Other artificial intelligence-based features that may be introduced in the future and are consistent with the general purpose of the Platforms.

The above list is illustrative and not exhaustive. The available tools, models, formats and capabilities may evolve, be expanded, modified, replaced or discontinued in accordance with these Terms.

The User acknowledges that outputs are generated through automated and probabilistic processes. They may therefore contain errors, inaccuracies, outdated information, non-existent references, bias, repetition, incorrect interpretations or content that does not fully comply with the instructions provided.

Chatbot App Limited does not guarantee that generated outputs will always be accurate, complete, original, unique, up to date, suitable for a particular purpose or accepted by an academic institution, employer, public authority, digital platform or other third party.

The User must review, verify and, where necessary, correct outputs before using, publishing, submitting, sharing or incorporating them into academic, professional or personal work.

Generated outputs are not a substitute for human judgement and do not constitute qualified legal, medical, financial, psychological, tax or other professional advice.

The User is responsible for deciding how to use the outputs and for ensuring that such use complies with applicable law, third-party rights and the relevant academic, professional, contractual or institutional rules.

The User’s responsibility does not exclude or limit any obligations or liabilities of Chatbot App Limited under applicable law.

Where the User accesses Rescrito or Aithor through third-party applications, platforms, stores or services, the terms of use and privacy policies of those third parties may also apply.

3.2. Artificial Intelligence Technologies and Providers

Rescrito and Aithor may integrate various technologies relating to artificial intelligence, including language models, multimodal systems, search and information-retrieval tools, audio recognition and transcription, image analysis, document processing, content generation and other automated systems.

These technologies may be developed directly by Chatbot App Limited or provided by specialist third parties, including, among others, services supplied by OpenAI, Google, Anthropic, Mistral AI and DeepSeek, as well as other providers that may be introduced, replaced or discontinued.

The list of providers is provided for information purposes and does not mean that all such providers are involved in every feature or process all User content.

The model, provider or combination of technologies used may vary depending on:

The selected tool or feature.
The type and format of the content being processed.
The plan purchased or the credits available.
The User’s country or region.
The language used.
The device, operating system or access channel.
Technical availability, capacity and performance.
Security and privacy requirements.
Provider costs and terms.
Updates and tests carried out on the Platforms.

For this reason, Chatbot App Limited does not guarantee that a feature will permanently use a particular model, version or provider.

To provide the requested features, certain prompts, instructions, conversations, documents, files, preferences, memory items or other content submitted by the User may be processed by these external providers.

Such processing shall be carried out in accordance with the Privacy Policy, the applicable contractual safeguards and the relevant security measures.

The User acknowledges and accepts that:

Outputs generated using artificial intelligence are produced through automated and probabilistic processes.
Outputs may contain errors, omissions, bias, outdated information, non-existent references or unverified statements.
Outputs may vary even where identical or similar instructions are used.
Contextual information or information stored through memory features may be interpreted or applied incorrectly.
Chatbot App Limited does not guarantee that generated content will be accurate, complete, original, unique, current or suitable for a specific purpose.
Outputs must not be used as the sole source for making decisions that may have significant legal, medical, financial, academic, professional or personal consequences.
The availability and operation of third-party models may be affected by interruptions, modifications, limits, updates or decisions made by their respective providers.
Certain features may produce different outputs depending on the available model, the plan purchased or the version of the Platform used.

Chatbot App Limited selects, configures and integrates these technologies within Rescrito and Aithor, but does not fully control the internal operation, training data, updates, policies or technical decisions of models provided by third parties.

The User must review, cross-check and, where appropriate, correct outputs before using, publishing, sharing or incorporating them into academic, professional or personal work.

The User also agrees not to use generated content as a substitute for qualified professional advice or present it as work produced entirely by the User where doing so would breach applicable academic, professional, contractual, institutional or legal rules.

Up-to-date information about the providers involved in the processing of personal data, their functions and any international data transfers shall be made available in the Privacy Policy.

3.3. Trial Periods, Free Access and Promotions

The User may have access to a free or paid trial period, promotional credits, demonstration features or a limited free-use option for Rescrito or Aithor where such options are available.

These options allow the User to explore certain features, configure preferences and evaluate the artificial intelligence tools before purchasing a subscription, acquiring additional credits or upgrading to a higher-tier plan.

During a trial or promotion, the User may, subject to the specific terms displayed:

Test certain tools and evaluate outputs generated using artificial intelligence.
Configure parameters and preferences according to their needs.
Determine whether the available features are suitable for their objectives.
Use a limited number or amount of credits, queries, documents, words, tokens, usage time or other resources.
Temporarily access features that would ordinarily form part of a paid plan.

The availability, eligibility criteria, duration, price, scope and limits of a trial or promotion may vary depending on:

Whether Rescrito or Aithor is used.
The plan or option offered.
The country, region or currency.
The device or operating system.
The website, mobile application, store or purchase channel.
The account’s history of trials, promotions or subscriptions.

Before starting a trial or purchasing an offer, the User shall be shown the applicable key information, including, where relevant:

The initial price.
The duration of the trial or promotion.
The features and limits included.
The applicable currency and taxes.
The end date.
Whether a payment method is required.
Whether the trial automatically converts into a subscription.
The plan, price and frequency of subsequent charges.
How and by when the renewal may be cancelled.

The specific terms displayed and accepted during the purchase process shall prevail in relation to the duration, price and limits of the relevant trial or promotion.

Where a trial or subscription is purchased through the Apple App Store, Google Play or another external platform, its billing, renewal, cancellation and any refund may be managed by that provider and shall also be subject to its terms and procedures.

Chatbot App Limited may modify, limit or withdraw a trial or promotion before it is purchased. Once it has begun, the terms communicated to the User shall be honoured unless measures are required because of fraud, abuse, manifest error, a security risk, a breach of these Terms or a legal obligation.

Trials, credits and promotions are personal, non-transferable and may not be combined unless expressly stated otherwise.

They must not be used through the creation of multiple accounts, false identities, data manipulation, abusive reinstallation of applications or other mechanisms intended to circumvent their requirements or limits.

Content created and activities carried out under these options shall be subject to these Terms and Conditions, including the provisions concerning permitted use, artificial intelligence, memory, intellectual property, privacy and liability.

Unless expressly stated otherwise, access to a trial or promotion:

Does not guarantee its future availability.
Does not require the User to make a subsequent purchase.
Does not entitle the User to receive further credits, trials or promotions after it has ended.
Does not guarantee that the features tested will continue to be included in the same plan.
Does not, in itself, create a right to a refund where no charge has been made.

The expiry of a free trial shall not, in itself, give rise to a refund, without prejudice to any rights the User may have in relation to any amount actually charged under applicable law.

Commercial or pricing tests may be assigned using general, random, technical or commercial criteria. Special categories of personal data or discriminatory criteria shall not be used to determine the price of an offer.

Where a price has been individually personalised through an automated decision based on the User’s profile or behaviour, the User shall be informed before purchase where required by applicable law.

Promotions, discounts and trials may be limited to certain Users, territories, devices, Platforms, stores, channels or periods. They may not be combined, transferred or used through the creation of multiple accounts or other mechanisms intended to circumvent their terms.

After purchase, the User shall receive a receipt, confirmation or electronic record containing the essential terms of the transaction, either directly from Chatbot App Limited or from the external provider that processed the purchase.

Chatbot App Limited may modify the prices, features and limits of its plans. Changes shall not apply retrospectively to periods already paid for and shall generally apply from a subsequent renewal.

Where a change affects an active subscription, the User shall be informed with reasonable advance notice. The User may cancel the renewal before the new price or terms take effect.

Subscriptions, paid trials, credit purchases and other services purchased through Rescrito or Aithor shall be charged at the start of the relevant period in accordance with the price, currency, billing frequency and terms displayed to the User during the purchase process.

Authorises the charge of the amount displayed during the purchase process.
In the case of automatically renewing subscriptions, authorises the relevant recurring charges until the renewal is cancelled.
Agrees to keep the information required to process payments up to date.
Accepts the relevant external provider’s payment terms where that provider processes the transaction.

Before the purchase is confirmed, the User shall be informed of the applicable total price, currency, relevant taxes or fees, billing frequency and any cost payable directly to Chatbot App Limited or the store provider.

Where a purchase is made through the Apple App Store, Google Play or another external platform, that platform may act as the entity responsible for collecting the payment and issuing the relevant receipt or invoice.

In such cases:

The payment method shall be associated with the account used in the store.
The subscription shall be managed in accordance with the tools and terms of that store.
Taxes, receipts, refunds and billing information may be managed directly by the external provider.
Chatbot App Limited may not have full access to the payment or billing information.
The information displayed in the relevant Apple, Google or other provider account shall prevail in relation to the renewal date and the status of any payment managed by that third party.

Where possible, prices shall be displayed and charged in the currency assigned to the User’s country or region. In other cases, payment may be processed in a currency different from that of the User’s bank account.

The issuer of the payment method or the User’s financial services provider may apply exchange rates, international transaction fees or other charges that are independent of Chatbot App Limited. These amounts are not determined or charged by Rescrito or Aithor and should be checked directly with the relevant institution.

If a payment is declined, reversed, cancelled or cannot be processed correctly, Chatbot App Limited or the payment provider may:

Retry the charge in accordance with the terms communicated to the User.
Request that the payment method be updated or replaced.
Apply a temporary grace period, where available.
Restrict or suspend access to paid features until the matter has been resolved.
Cancel the subscription where non-payment continues.

Suspension for non-payment does not extinguish any amounts validly accrued before cancellation or affect any rights available to the User under applicable law.

Where a purchase made through a mobile application does not appear correctly in the User’s account, the User may use the restore purchases feature, where available. This may require the use of the same Apple or Google account through which the purchase was made and the same Rescrito or Aithor account to which it was originally linked.

The User shall receive a receipt or proof of the transaction through the email address associated with their account or from the provider that processed the payment.

Where the purchase has been invoiced directly by Chatbot App Limited and the User requires an invoice, they may request one by writing to [email protected] and providing their tax details and the transaction information.

Where the purchase has been invoiced by Apple, Google or another external provider, the User must obtain the invoice or supporting document through the systems provided by that provider.

4.3. Subscription Cancellation

The User may cancel the automatic renewal of their Rescrito or Aithor subscription at any time without having to provide a reason.

The cancellation method shall depend on the channel through which the subscription was purchased.

Subscriptions Purchased Directly from Chatbot App Limited

Where the subscription was purchased through rescrito.com, aithor.ai, aithor.io or another channel managed directly by Chatbot App Limited, renewal may be cancelled through the subscriptions or billing section of the account, where this option is available.

If the User experiences technical difficulties, they may request assistance by writing to [email protected] from the email address associated with their account.

Subscriptions Purchased through Apple, Google or Other Third Parties

Where the subscription was purchased through the Apple App Store, Google Play or another store or platform that directly manages renewal, the User must cancel it through the subscription settings of the account used with that provider.

Chatbot App Limited may provide instructions or assistance in locating the subscription but may not have the technical ability to cancel it directly on the User’s behalf.

Deleting the application, signing out, uninstalling Rescrito or Aithor, deleting a conversation or not using the service does not automatically cancel an active subscription.

Deleting the account shall not necessarily cancel a subscription managed by Apple, Google or another external provider. The User must first cancel the renewal through the relevant channel.

Cancellation of the renewal shall generally have the following effects:

The next recurring charge shall not be made.
The User shall retain access to paid features until the end of the period already paid for.
At the end of that period, the account may be moved to a free or limited-access option, where available.
Cancellation shall not automatically delete the account, conversations, memory or stored content.

For certain free trials or promotions, cancellation may result in the immediate loss of promotional access where this was stated during the purchase process or is required by the relevant store.

To avoid the next charge, cancellation must be completed before the renewal date and time displayed in the account or by the provider managing the subscription. The User is advised to cancel sufficiently in advance.

A request for assistance sent to Chatbot App Limited does not, in itself, guarantee cancellation of a subscription managed by a third party. The User must verify that the subscription is shown as cancelled or set not to renew through the relevant channel.

Cancellation of the renewal does not, in itself, result in a full or partial refund of a period that has already begun. The User shall retain access until the end of that period unless the relevant offer or provider specifies a different outcome.

The above is without prejudice to any rights of withdrawal, refund, price reduction, termination or any other mandatory rights available to the User under applicable law.

Subscription cancellation, account deletion and the erasure of personal data are separate processes. A User who wishes to delete their account, conversations, memory or data must use the relevant options or contact [email protected].

Chatbot App Limited may suspend or cancel a subscription where there is:

A serious or repeated breach of these Terms.
Fraudulent, abusive or unlawful use.
Continued non-payment.
A risk to the security of the Platforms or third parties.
A legal, administrative or judicial obligation.

Where circumstances permit, the User shall be informed of the action taken and the reasons for it. Suspension or cancellation shall not limit any mandatory consumer rights available to the User.

4.4. Returns, Refunds and Right of Withdrawal

Return or refund requests relating to Rescrito and Aithor shall be handled in accordance with:

Applicable law.
The terms displayed and accepted during the purchase process.
The channel through which the purchase was made.
The specific circumstances of each case.

Purchases Invoiced Directly by Chatbot App Limited

Where payment was processed directly by Chatbot App Limited or by a provider acting on its behalf, the User may submit a request by writing to [email protected] from the email address associated with their account.

Where possible, the request should include:

The affected Platform and account.
The date and amount of the charge.
The transaction identifier, receipt or proof of payment.
The reason for the request.
The information necessary to locate and review the payment.

Chatbot App Limited may request additional information where necessary to verify the applicant’s identity, confirm the transaction or prevent fraudulent requests.

Purchases Invoiced by Apple, Google or Other Third Parties

Where the purchase was invoiced directly by the Apple App Store, Google Play or another external store or platform, the User must request the refund through the procedures provided by that provider.

The approval, refusal, payment method and processing time of such refunds shall depend on the external provider’s policies and decisions.

Chatbot App Limited may provide information to help locate the account or transaction but cannot guarantee or control the decision made by the store.

Circumstances in Which a Refund May Be Available

A full or partial refund may be available, among other cases, in the following circumstances:

Duplicate charges.
Charges for an amount different from the amount displayed and accepted.
Renewals processed after the User had correctly cancelled within the applicable period.
Unauthorised transactions, once the relevant checks have been carried out.
Billing errors attributable to Chatbot App Limited.
Serious and continuing technical failures attributable to the Platforms that substantially prevented the use of the purchased features.
Lack of conformity of digital content or services where it has not been possible to remedy the lack of conformity within a reasonable period.
Valid exercise of the right of withdrawal.
Any other circumstance in which a refund is required under applicable law.

As a general rule, voluntary refunds shall not be granted solely on the basis of the following circumstances:

The subscription was not used or was only partially used.
The User forgot to cancel the renewal before the next charge.
The User uninstalled the application without first cancelling the subscription.
The User no longer requires the service or changes their mind after the withdrawal period has expired.
The User is dissatisfied with a particular response generated using artificial intelligence, provided that the relevant feature was supplied correctly.
The User did not use purchased credits before the communicated end date or expiry date.
The User breached these Terms or used the Platforms fraudulently, abusively or unlawfully.
The User experienced minor or temporary interruptions, or interruptions outside Chatbot App Limited’s reasonable control, that did not substantially prevent use of the service.
Fees, exchange-rate differences or charges applied by the User’s financial institution.

These exclusions shall not limit any mandatory consumer rights available to the User.

Right of Withdrawal

Where applicable, a User acting as a consumer may exercise their right of withdrawal within the applicable statutory period following the purchase, without having to provide a reason.

Where the User expressly requests that a paid digital service begin during the withdrawal period, they may be required to pay a proportionate amount for the service actually supplied up to the time at which they communicate their decision to withdraw, where permitted by applicable law.

In the case of digital content not supplied on a tangible medium and delivered immediately, the right of withdrawal may be lost where:

The User has expressly consented to the supply beginning.
The User has acknowledged that, by doing so, they lose their right of withdrawal.
The relevant contractual confirmation has been provided to the User.
All other statutory requirements have been met.

The loss of the right of withdrawal does not remove the User’s rights where the digital service or content is defective, does not conform to the contract or has been incorrectly charged.

Submitting a request does not, in itself, guarantee that a voluntary refund will be granted. Chatbot App Limited shall assess the request objectively, reasonably and in accordance with applicable law.

Where a refund is approved:

It shall generally be made using the same payment method used for the purchase.
A different method may be used where the User expressly accepts it and it does not result in additional costs.
It shall be processed without undue delay.
Where it arises from a statutory right, it shall be made within the maximum period established by applicable law.
It may be proportionate to the period during which the service did not conform or could not be used.
Credits, benefits or features linked to the refunded amount may be withdrawn or adjusted.

The time required for the amount to appear in the User’s account may depend on their bank, card issuer, Apple, Google or the provider that processed the payment.

4.5. Changes to Plans, Prices and Features

Chatbot App Limited may create, modify, replace or withdraw:

Subscription plans and options.
Credit packages.
Trial periods.
Promotions and discounts.
Features and tools.
Artificial intelligence models.
Usage limits.
Purchase channels.
Billing options.

Prices and commercial terms may vary depending on whether Rescrito or Aithor is used, the User’s country or region, the currency, device, application store, purchase channel, billing period, applicable taxes, available promotions and any active commercial or pricing tests.

The existence of a price, discount, promotion or plan offered to other Users or through another channel shall not entitle the User to demand the same terms.

Promotions and special prices shall be valid only for the period and under the conditions specified in the relevant offer.

Changes shall not apply retrospectively to periods already paid for. Where the price of an active subscription is changed, the new amount shall generally apply from a subsequent renewal.

Changes that have a financial effect on the User shall be communicated with reasonable advance notice by email, through a notification within the Platforms, by a communication from the relevant store or by any other appropriate durable medium.

Where applicable, the communication shall specify:

The new price.
The amended terms or limits.
The date on which the change shall apply.
The channel through which the subscription must be managed.
How the renewal may be cancelled.

The User may cancel their subscription before the date on which the new price becomes applicable.

If, after receiving the relevant communication, the User keeps the renewal active and the next charge is processed, the subscription shall renew at the new notified price, without prejudice to any rights available to the User under applicable law.

Chatbot App Limited may modify the features, characteristics, models or limits included in a plan for legal, technical, operational, commercial or security reasons or for reasons relating to external providers.

The introduction of new tools or features falling within the general purpose of Rescrito and Aithor shall not necessarily require these Terms to be amended.

Where a change has a significant adverse effect on access to or use of purchased digital content or a digital service, the User may exercise the rights available under applicable law, including, where appropriate, terminating the contract without charge.

Chatbot App Limited shall not be required to maintain historical prices, discounts, specific models, promotional features or commercial benefits indefinitely after the period for which they were purchased or offered has ended.

However, the terms applicable to the period already paid for and any mandatory consumer rights available to the User shall be respected.

4.6. Credits and Usage Limits

Rescrito and Aithor may use systems of credits, tokens, words, queries, documents, minutes, processing capacity or other units to measure or limit the use of certain features.

The quantity, usage value and rate at which these units are consumed may vary depending on:

The feature used.
The artificial intelligence model selected.
The size or complexity of the request.
The type and volume of files processed.
The plan purchased.
The channel, device or region.
The terms displayed during the purchase process.

Before purchasing a credit package or a plan subject to limits, the User shall be provided with sufficient information about the amount included, its purpose, duration and principal conditions of use.

Credits and units of use:

Do not constitute electronic money.
Do not accrue interest.
Cannot be exchanged for cash.
Are personal and non-transferable unless the plan expressly permits them to be shared between members.
May only be used within the Platforms and for compatible features.
May be subject to an expiry date where this is clearly communicated before purchase or allocation.
May be consumed at different rates depending on the tool or model used.

Promotional, free or compensatory credits may be subject to different terms, limits and expiry dates from credits purchased for payment.

Where the User holds different types of credits, Chatbot App Limited may establish an order in which they are consumed. This order shall be communicated or shown in the account where relevant.

Unused credits shall not be refunded automatically when a subscription ends, an account is closed or their expiry date is reached, unless expressly stated otherwise or a refund is required under applicable law.

Where Chatbot App Limited permanently withdraws a feature for which specific credits were purchased and those credits can no longer reasonably be used, it may offer an equivalent feature, convert the credits, extend their validity or provide any refund required in view of the circumstances and applicable law.

Chatbot App Limited may establish reasonable usage limits intended to protect the stability, security and availability of the Platforms, prevent abuse and ensure the appropriate allocation of resources.

Where possible, these limits shall be displayed in the plan description, during the purchase process or within the User’s account.

  1. Warranties, Availability and Liability
5.1. Availability, Outputs and Limitation of Liability

Chatbot App Limited undertakes to provide Rescrito and Aithor with a reasonable level of care, security and availability, in accordance with the characteristics, features and terms communicated to the User during the purchase process.

However, due to the nature of digital services, mobile applications and artificial intelligence technologies, Chatbot App Limited does not guarantee that the Platforms shall:

Operate without interruption or remain permanently available.
Be entirely free from errors, delays, vulnerabilities or technical failures.
Be compatible with all existing devices, browsers, operating systems or configurations.
Permanently retain any particular feature, artificial intelligence model, integration or provider.
Instantly or completely uniformly synchronise all data, conversations, files, preferences or memory items across devices.
Allow the recovery of content deleted by the User or content that is no longer available in accordance with the applicable retention periods.

Access to the Platforms may be temporarily interrupted for reasons including:

Maintenance, updates or the deployment of new versions.
The correction of errors or vulnerabilities.
Security, performance or capacity improvements.
System overload.
Incidents affecting communications networks or external infrastructure.
Failures or changes affecting providers of artificial intelligence, hosting, authentication, payments, messaging or analytics services.
Application review, distribution or update processes in the Apple App Store, Google Play or other stores.
Force majeure events or circumstances outside Chatbot App Limited’s reasonable control.

Where reasonably possible, Chatbot App Limited shall take measures to reduce the impact of such incidents and restore the service within an appropriate period, taking into account the nature and seriousness of the issue.

Outputs Generated Using Artificial Intelligence

The User acknowledges that outputs generated using artificial intelligence are produced through automated and probabilistic processes.

They may therefore contain:

Errors, omissions or contradictions.
Outdated or unverified information.
Non-existent references, citations, sources or data.
Bias or incorrect interpretations.
Repetitive, incomplete content or content that does not fully comply with the instructions.
Similarities to outputs generated for other Users.
Contextual or memory information applied incorrectly.

Chatbot App Limited does not guarantee that outputs shall always be accurate, complete, original, unique, current, free from third-party rights or suitable for a particular purpose.

Nor does it guarantee that they shall be accepted by educational establishments, universities, employers, public authorities, digital platforms, artificial intelligence detection systems or other third parties.

Generated outputs do not constitute qualified legal, medical, psychological, financial, tax, academic or other professional advice and are not a substitute for human judgement or the involvement of a competent professional.

The User must review, cross-check and, where necessary, correct outputs before:

Using or applying them.
Publishing or sharing them.
Submitting them as part of an assignment or other work.
Incorporating them into academic or professional documents.
Making significant decisions based on them.

User Content and Conduct

The User is responsible for any text, instructions, documents, files, images, audio recordings, links, data and other content submitted to the Platforms, and for having the rights, authorisations and lawful bases necessary for its processing.

Chatbot App Limited shall not be liable for any damage or loss resulting from:

Unlawful, fraudulent or negligent use, or use contrary to these Terms.
The use of generated outputs without carrying out the review or verification reasonably required.
The making of significant decisions based exclusively on outputs generated using artificial intelligence.
The User’s breach of academic, professional, employment-related, institutional or legal rules.
The submission of data, documents or content without the necessary rights, permissions or authorisations.
Unauthorised access to an account where this results from the User’s culpable failure to comply with their security obligations.
The use of an outdated or incompatible version of the application where the User had been reasonably informed of the need to update it.
The incompatibility of the User’s device, browser, connection, operating system or digital environment with technical requirements communicated in advance.
Failures attributable exclusively to external providers, communications networks, application stores, payment gateways or artificial intelligence services outside Chatbot App Limited’s reasonable control.
Force majeure events, unforeseeable events or circumstances that could not reasonably have been prevented or avoided.

To the extent permitted by applicable law, Chatbot App Limited shall not be liable for indirect losses, loss of profit, business opportunities, reputation, anticipated savings or information that are not the direct and reasonably foreseeable result of a breach attributable to Chatbot App Limited.

This limitation shall not apply where the damage arises from a breach of a legal obligation that cannot be contractually excluded or limited.

Nothing in these Terms shall exclude or limit:

The User’s mandatory rights as a consumer.
Liability arising from wilful misconduct, fraud or gross negligence.
Liability for death or personal injury where it cannot legally be excluded.
Obligations relating to privacy and the protection of personal data.
The User’s rights in the event of a lack of conformity of digital content or services.
Any other liability that cannot be excluded or limited under applicable law.

Where Rescrito or Aithor does not conform to the agreed terms, the User may exercise the rights and remedies available to them, including, where appropriate, having the service brought into conformity, a proportionate price reduction or termination of the contract.

5.2. Maintenance, Updates and Operation of the Service

Chatbot App Limited undertakes to maintain and improve Rescrito and Aithor through reasonable technical and organisational measures intended to support their operation, accessibility, security, compatibility and proper functioning.

For this purpose, it may carry out:

Updates to the websites and mobile applications.
Corrections of errors and vulnerabilities.
Changes to the infrastructure and technical architecture.
Improvements to performance, stability, security and the User experience.
Adaptations to new versions of iOS, Android, browsers and other technological environments.
Changes necessary to maintain compatibility with external services and providers.
The introduction, replacement or withdrawal of artificial intelligence models.
Updates to memory, personalisation and synchronisation features.
Changes intended to comply with legal obligations or application-store requirements.

Updates may be downloaded or installed automatically where permitted by the device settings, application store or operating system.

In other cases, the User must manually install the latest version in order to continue accessing certain features, receive security fixes or maintain service compatibility.

Chatbot App Limited does not guarantee the continued operation of older versions of the applications where they:

Present security risks.
Are incompatible with the current infrastructure.
Depend on technologies or providers that are no longer available.
Do not comply with legal or application-store requirements.
Prevent the purchased features from being properly provided.

Where an update is necessary to maintain the conformity, security or operation of the service, Chatbot App Limited shall inform the User where reasonably possible.

The User must install necessary updates within a reasonable period. Chatbot App Limited shall not be liable for incidents caused exclusively by the failure to install an update about which the User had been properly informed, without prejudice to the User’s mandatory rights.

Mobile Applications and Devices

The availability of certain features may depend on:

The model and capacity of the device.
The installed version of iOS or Android.
The permissions granted to the application.
The availability of an internet connection.
The version of the application.
Restrictions imposed by Apple, Google or the device manufacturer.
The country, region or store from which the application was downloaded.

Certain features may not be available simultaneously on the web, iOS and Android, or may be released progressively depending on the Platform, version, region or plan purchased.

Chatbot App Limited may cease to support older operating-system versions or devices where maintaining such support is technically impracticable, insecure or disproportionate. Where the change significantly affects a purchased service, the User shall be informed with reasonable advance notice where circumstances permit.

Memory, Storage and Synchronisation

Conversational memory, history, storage and synchronisation features are intended to facilitate continuity across conversations and devices, but may be subject to delays, errors or limitations.

Chatbot App Limited does not guarantee that:

All information provided shall be added to memory.
Memory shall correctly interpret or apply all stored data.
Changes shall synchronise immediately across all devices.
Deleted conversations, files or items can be recovered.
A memory or synchronisation feature shall remain permanently available across all plans or versions.

The User may manage memory and stored content through the options available on the Platforms. The User is advised to retain independent copies of any documents or content that are particularly important.

Chatbot App Limited shall apply the retention, backup and deletion measures described in its Privacy Policy. The existence of technical backups does not mean that individual files or conversations can be restored at the User’s request.

New or Trial Features

Chatbot App Limited may identify certain features as experimental, beta, preliminary or undergoing testing.

Such features may:

Have reduced availability or stability.
Contain errors or incomplete outputs.
Be modified more frequently.
Be limited to certain Users, regions, devices or plans.
Be replaced or withdrawn before their general release.

Where an experimental feature forms part of a paid service and its withdrawal has a significant adverse effect on the service purchased, the User’s rights under applicable law shall be respected.

Chatbot App Limited shall protect Users’ personal data in accordance with its Privacy Policy and applicable data protection law.

Material changes to digital content or services shall be made in accordance with the clauses concerning changes to features and plans and the rights recognised under applicable law.

  1. Data Protection
6.1. Collection and Processing of Personal Data

When registering for, accessing or using Rescrito or Aithor, Chatbot App Limited may collect and process certain personal data necessary to create and administer the account, provide the requested features, manage the contractual relationship and ensure the security and proper operation of the Platforms.

Such processing may take place through rescrito.com, aithor.ai, aithor.io, their web applications, mobile applications for iOS and Android and any other channels, interfaces and integrations made available from time to time.

Depending on the features used, the data processed may include:

Name, username, alias or pseudonym.
Email address.
Data associated with external authentication systems, such as Apple, Google or other providers, where the User uses such options to create an account or sign in.
Data relating to the account, the plan purchased, available credits, the subscription and completed transactions.
Purchase identifiers, receipts, subscription status and other information provided by Stripe, the Apple App Store, Google Play or other payment providers.
Prompts, instructions, messages, conversations, documents, files, images, audio recordings, videos, links and other content submitted, selected or uploaded by the User.
Outputs and content generated through artificial intelligence features.
Preferences, settings, folders, favourites, projects and other information relating to the use of the Platforms.
Information stored through conversational memory features, such as language, tone or format preferences, objectives, projects, topics of interest, recurring instructions and other contextual data relevant to future interactions.
Technical information concerning the use of the Platforms, such as IP address, browser, operating system, language, time zone, technical identifiers, activity logs, features used, session duration, clicks, errors and browsing data.
Technical information relating to the mobile applications, such as device model, operating-system version, application version, installation or session identifiers and compatibility data.
Diagnostic and performance data, such as error logs, crashes, loading times, synchronisation failures and application performance data.
Notification tokens and preferences relating to push communications, where the User has enabled this feature.
Data provided in connection with support requests, complaints, communications or surveys.
Information concerning permissions granted to the application and the specific files or content that the User chooses to select using those permissions.

The applications may request access to device features, such as photographs, files, the camera, microphone or notifications, where necessary to provide a requested feature.

Granting such permissions is optional and they may be managed through the device settings. Refusing or withdrawing a permission may prevent use of the feature that depends on it but shall not necessarily affect the remaining services.

Chatbot App Limited shall not generally access the entire contents of the device. Only files, images, recordings or other content expressly selected or generated by the User through the available features shall be processed.

The lawful basis for processing shall depend on the relevant purpose and may consist of:

Performance of a contract or steps taken before entering into a contract: to create and administer the account, authenticate the User, process the content provided, supply the requested features, synchronise information across devices, manage subscriptions and provide support.
Compliance with legal obligations: to comply with tax, accounting, administrative or regulatory obligations or valid requests from authorities.
Legitimate interests: to ensure the security of the Platforms, prevent fraud and abuse, resolve incidents, protect systems and improve the performance and operation of the services, provided that the User’s rights and freedoms do not override those interests.
The User’s consent: where required to send marketing communications, use non-essential cookies, SDKs or similar technologies, enable certain optional personalisation or memory features or carry out any other processing that requires consent under applicable law.

Data may be collected:

Directly, through forms, conversations, files and other User interactions.
Automatically, through technical logs, cookies, local storage, SDKs, identifiers and similar technologies.
Through authentication providers, application stores, payment processors and other third parties used by the User.
From the use of the Platforms themselves, including preferences and interaction patterns.

Fields identified as mandatory shall be necessary to create an account, purchase a service or use the relevant feature. All other information shall be optional.

Failure to provide mandatory data may prevent registration, purchase or the provision of certain features, but shall not affect features that do not require such information.

Chatbot App Limited does not intentionally request special categories of personal data, such as information relating to health, racial or ethnic origin, religion, political opinions, trade-union membership, sex life, sexual orientation or biometric or genetic data.

The User should avoid submitting this type of information in prompts, files, conversations or memory items unless it is strictly necessary and the User has a sufficient lawful basis or authorisation to do so.

Where the User voluntarily provides special-category data, Chatbot App Limited shall not use it for additional incompatible purposes. Its processing shall be limited to providing the requested technical service only where a valid lawful basis exists and applicable law permits such processing.

Where such information cannot lawfully be processed, Chatbot App Limited may refuse to process it, restrict the content or delete it in accordance with these Terms and the Privacy Policy.

Full information concerning the data processed, purposes, lawful bases, providers, international transfers, retention and the User’s rights is available in the Rescrito and Aithor Privacy Policy.

6.2. Use of Data and Purposes of Processing

Personal data collected through Rescrito and Aithor shall be processed, as applicable, for the following purposes:

Provision and administration of the service: to register and authenticate the User, manage their account, provide access to the Platforms, retain their preferences and provide the requested features.
Synchronisation across devices: to keep certain conversations, documents, projects, settings, purchases, subscriptions and preferences available on devices linked to the same account.
Subscription and payment management: to process purchases, renewals, cancellations, credit purchases, billing, restoration of purchases, refunds and transaction-related communications.
Content generation and processing: to process prompts, instructions, messages, documents, images, audio recordings, videos, files, links and other information provided by the User in order to generate the requested responses or outputs.
Conversational memory and personalisation: where the feature is available and enabled, to identify and retain certain preferences, instructions and contextual data in order to maintain continuity between conversations and personalise future responses.
Experience configuration: to tailor tools, templates, recommendations, language, format and other features to the User’s preferences and use.
Mobile application management: to maintain the session, verify compatibility, restore purchases, manage permissions, synchronise data and provide the features available on iOS and Android.
Notifications: to send operational notices, reminders, security alerts, service updates or other communications by email or push notification, in accordance with the User’s preferences and the applicable lawful basis.
User support: to manage enquiries, technical incidents, complaints, requests for information and requests relating to the account or purchased services.
Operational communications: to send confirmations, security notices, payment notifications and information concerning the operation of the Platforms and changes to services, terms or policies.
Marketing communications: to send promotions, offers, updates and other marketing content where the User has provided consent or another valid lawful basis exists.
Platform diagnostics and improvement: to analyse errors, crashes, performance, stability, compatibility and use in order to correct issues, develop features and improve the User experience.
Technical and commercial testing: to carry out tests relating to functionality, interfaces, models, tools, prices or offers in order to evaluate and improve the services.
Security and fraud prevention: to detect unauthorised access, suspicious activity, abusive account creation, circumvention of limits, non-payment, fraud and uses contrary to these Terms.
Compliance with legal obligations: to comply with tax, accounting, administrative and regulatory obligations and valid requests from competent authorities.
Protection of rights and legitimate interests: to establish, exercise or defend claims and protect the rights, property, systems, providers and Users of Chatbot App Limited.

Where reasonably possible, data used for analysis, testing and improvement shall be aggregated, pseudonymised or anonymised.

Chatbot App Limited shall not use personal data for purposes incompatible with those for which it was collected unless a new valid lawful basis exists and, where appropriate, the User is informed in advance.

Information stored through conversational memory shall be used to provide and personalise the services in accordance with the User’s settings.

Deleting a conversation shall not necessarily result in the deletion of data previously added to memory where conversations and memory are managed separately. The User may view, correct, delete or disable memory using the available options.

Identifiable prompts, conversations, files or memory items shall not be used to train artificial intelligence models for any purpose other than providing or personalising the service without first informing the User and having a valid lawful basis.

The Platforms may use automated processes for purposes such as:

Detecting fraud and suspicious activity.
Account security and protection.
Personalising content and recommendations.
Identifying information relevant to memory.
Assigning features or experiences.
Conducting technical and commercial tests.
Applying usage limits.
Moderation and detecting potential breaches.

As a general rule, Chatbot App Limited does not make decisions based solely on automated processing that produce legal effects concerning the User or similarly significantly affect them.

If processing of this nature is introduced in the future, the User shall be informed in advance about its operation, significance and anticipated consequences, and the safeguards required by law shall be applied, including, where appropriate, the ability to request human intervention, express their point of view and challenge the decision.

6.3. Data Storage, Retention and Security

Chatbot App Limited uses cloud infrastructure, local storage and external technology providers to store and process certain data relating to Rescrito and Aithor.

These providers may include Google Cloud and Firebase services, artificial intelligence providers, payment platforms, email services, diagnostic tools, notification systems and other providers necessary to deliver the features.

The location of processing and storage may vary depending on the service, resource, provider and feature used.

Where a technology allows the location to be selected, certain resources may be configured in regions located within the European Economic Area, including European Google Cloud regions.

However, some services may operate using global infrastructure or process information outside the European Economic Area. Such operations and international transfers shall be carried out in accordance with the Privacy Policy and using safeguards recognised under applicable law.

The mobile applications may also store certain data locally on the device, such as:

Authentication credentials or tokens.
Configuration preferences.
Information necessary to maintain the session.
Temporary or cached data.
Drafts or files awaiting synchronisation.
Information necessary for the operation of the application.

The User may delete some of this information by signing out, clearing application data or uninstalling the application. However, these actions shall not necessarily delete data stored on servers associated with the account.

Chatbot App Limited implements appropriate technical and organisational measures to protect personal data against unauthorised access, loss, alteration, disclosure or unlawful processing.

These measures may include:

Encryption of information during transmission using HTTPS, SSL or TLS protocols.
Encryption of stored data where provided by the relevant technology service.
Secure identification and authentication systems.
Security rules and access controls applied to databases, files, servers and administrative panels.
Restriction of access in accordance with the principles of need to know and least privilege.
Secure management of keys, credentials and technical secrets.
Logging, monitoring and analysis of access, errors and potentially fraudulent activity.
Systems for detecting errors, crashes and security incidents.
Backups and recovery procedures where necessary.
Regular system updates, reviews and maintenance.
Confidentiality, data protection and security agreements with providers that process information on behalf of Chatbot App Limited.

Providers used by the Platforms may hold independent security and privacy certifications and assessments, such as ISO 27001, ISO 27017, ISO 27018 and SOC certifications, depending on the specific service.

Such certifications relate to the relevant providers and do not mean that Chatbot App Limited is itself directly certified under those standards.

Personal data shall be retained only for as long as necessary to fulfil the purposes for which it was collected and thereafter for the periods required by applicable law or necessary to address potential liabilities.

In particular:

Account data shall be retained for as long as the account remains active.
Conversations, projects, documents and files may be retained while the User maintains their account or until the User deletes them.
Memory data may be retained while the feature remains enabled or until the User deletes individual items, clears all memory or requests its erasure.
Disabling memory shall prevent its use in new conversations but shall not necessarily result in its automatic deletion where this is stated in the settings.
Purchase, payment and billing data may be retained for the applicable tax, accounting and statutory periods.
Security, fraud and support logs may be retained for as long as necessary to investigate incidents and address potential liabilities.
Notification tokens shall be retained while necessary to send authorised notifications or until the feature is disabled or the tokens cease to be valid.
Backups may temporarily retain information until they are overwritten or deleted in accordance with the relevant technical cycles.
Irreversibly anonymised data may be retained indefinitely for statistical, technical or improvement purposes.

Once the applicable periods have expired, data shall be securely deleted, restricted or anonymised, as appropriate.

The User may exercise their rights of access, rectification, erasure, objection, restriction and data portability, and may manage or delete conversational memory, in accordance with the Privacy Policy.

Despite the measures implemented, no computer system, cloud service, mobile application or transmission method can guarantee absolute security.

If a security incident occurs, Chatbot App Limited shall take reasonable measures to investigate it, contain it, mitigate its effects and comply with any applicable statutory notification obligations.

6.4. Disclosure of Data and External Providers

Chatbot App Limited does not sell, rent or disclose Users’ personal data to third parties for those third parties’ own commercial purposes unless there is express authorisation, a legal obligation or another valid lawful basis.

In order to provide, maintain, protect and improve Rescrito and Aithor, certain data may be disclosed or made available to external technology providers.

Depending on the features, applications and channels used, such providers may include:

Google Cloud and Firebase: infrastructure, hosting, storage, databases, authentication, messaging and technical services.
Artificial intelligence providers: processing prompts, instructions, conversations, memory items, documents and files in order to generate the requested outputs.
Stripe, the Apple App Store, Google Play and other payment providers: payment processing, subscription management, restoration of purchases, billing, refunds and fraud prevention.
Apple, Google and other authentication providers: account creation and sign-in through external services.
Mailgun and other communications providers: sending authorised transactional, operational and marketing emails.
Apple Push Notification Service, Firebase Cloud Messaging and similar services: sending notifications to authorised devices.
Analytics and diagnostic tools: measuring use and detecting errors, crashes, performance issues and Platform functionality.
Security, fraud-prevention, support and maintenance providers: protecting accounts, systems and infrastructure.

These third parties shall receive only the data necessary to perform the relevant functions.

Where they act on behalf of Chatbot App Limited as processors or sub-processors, they shall be subject to contracts governing their obligations regarding confidentiality, security, processing in accordance with instructions and data protection.

Some providers may act as independent controllers in relation to processing activities for which they determine the purposes and means themselves, particularly in connection with payments, application stores, fraud prevention, regulatory compliance and complaint handling.

In such cases, their own privacy policies and terms shall also apply.

Chatbot App Limited may also disclose personal data:

To judicial, administrative, tax, regulatory or law-enforcement authorities where there is a legal obligation or valid request.
To legal, tax and accounting advisers, auditors, insurers or other professionals where necessary to comply with obligations or establish, exercise or defend claims.
To prospective purchasers, investors or entities involved in a merger, acquisition, financing, restructuring or full or partial transfer of the business, subject to appropriate confidentiality and protection measures.
Where necessary to protect the rights, security, property or legitimate interests of Chatbot App Limited, its Users or third parties.

Some providers may process data from countries outside the European Economic Area.

Where European data protection law applies, such transfers shall be carried out on the basis of adequacy decisions, standard contractual clauses or other legally recognised mechanisms and safeguards.

The list of providers may change as technology services are introduced, replaced or removed.

Relevant and up-to-date information concerning recipients, international transfers and the functions of each provider shall be available in the Privacy Policy or in the list of providers and sub-processors published by Chatbot App Limited.

6.5. Privacy Policy

The processing of personal data through Rescrito and Aithor is governed by Chatbot App Limited’s Privacy Policy.

This Policy supplements these Terms and Conditions and applies to services offered through:

rescrito.com.
aithor.ai.
aithor.io.
The Rescrito and Aithor web applications.

Among other matters, the Policy provides information concerning:

The personal data collected and the sources from which it is obtained.
Data processed through the mobile applications and integrated SDKs.
Information stored through memory and personalisation features.
The purposes for which data is used and the applicable lawful bases.
Providers and third parties that may be involved in delivering the services.
International transfers and the relevant safeguards.
How data is stored and protected.
The periods or criteria used to determine its retention.
Permissions and technologies used in the mobile applications.
The use of cookies, local storage, SDKs and similar technologies.

The procedure for exercising the User’s rights.
The ability to lodge a complaint with the competent data protection authority.

The User may review the current version of the Privacy Policy at any time through the links available on the Platforms and in the relevant application listings.

A single Privacy Policy may be used for Rescrito and Aithor provided that it clearly identifies the brands, domains, applications, processing activities and services covered.

Acceptance of these Terms means that the User confirms that they have had the opportunity to review the Privacy Policy, but does not constitute general consent to all processing of personal data.

Where a specific processing activity requires the User’s consent, such as certain marketing communications, non-essential cookies or technologies or certain optional features, such consent shall be requested separately, specifically and on an informed basis and may be withdrawn at any time.

Privacy disclosures displayed in the Apple App Store, Google Play or other stores shall supplement, but shall not replace, the Privacy Policy.

Chatbot App Limited shall endeavour to keep the information published on the Platforms, in application stores and in the relevant privacy forms consistent and up to date.

  1. Final Provisions
    7.1. Interpretation

The titles and headings used in these Terms and Conditions are included solely for organisational, reference and convenience purposes and shall not, in themselves, affect the interpretation of their provisions.

In the event of any conflict between a heading and the content of a clause, the content of the clause shall prevail.

These Terms shall be interpreted as a whole, in accordance with their purpose, the nature of the services offered by Rescrito and Aithor, the principle of contractual good faith and applicable law.

Where any provision is capable of more than one interpretation, the interpretation compatible with mandatory law and the User’s mandatory rights shall apply.

Where the User is acting as a consumer, unclear or ambiguous clauses shall be interpreted in accordance with applicable consumer protection rules.

References to “Rescrito”, “Aithor”, the “Platform” or the “Platforms” shall include, as applicable:

The services offered through rescrito.com, aithor.ai and aithor.io.
Their web applications.
Their mobile applications for iOS and Android.
Their extensions, interfaces and integrations.
Their artificial intelligence, memory, personalisation and synchronisation features.
Any other associated services that may be made available from time to time.

References to a clause or section shall be understood as references to the provisions of these Terms unless expressly stated otherwise.

7.2. Changes to the Terms

Changes to these Terms and Conditions shall be governed by clause 1.3 concerning changes to the Terms and the Platforms.

The current version shall be available for review on the Platforms and shall state the date on which it was last updated.

Changes may be communicated by means of:

Email.
A notification within the Platforms.
A notice on the websites.
A notification within the mobile applications.
Release notes.
Any other appropriate durable medium.

In the event of any conflict between this clause and clause 1.3, clause 1.3 shall prevail.

7.3. Suspension, Termination and Account Closure

The User may stop using Rescrito or Aithor, cancel the renewal of their subscription or request deletion of their account at any time, in accordance with the procedures available on the Platforms and these Terms and the Privacy Policy.

Subscription cancellation, account deletion, application uninstallation and the erasure of personal data are separate processes.

Where a subscription has been purchased through the Apple App Store, Google Play or another external provider, deleting the account or application shall not necessarily cancel the renewal. The User must cancel the subscription using the tools provided by the provider that manages the payment.

Chatbot App Limited may temporarily or permanently restrict, suspend or terminate an account, subscription or access to certain features where there is a justified reason, including:

A serious or repeated breach of these Terms.
Fraudulent, abusive, unlawful or unauthorised use of the Platforms.
The creation or use of multiple accounts to circumvent restrictions, payments, blocks or promotional terms.
An infringement of third-party rights.
Non-payment of amounts that are validly due.
The existence of risks to the security, stability or operation of the Platforms.
An attempt to circumvent access controls, usage limits, payment systems or security measures.
Activities that may cause harm to Chatbot App Limited, other Users, technology providers or third parties.
The use of memory, artificial intelligence systems or integrations to carry out unlawful activities or activities contrary to these Terms.
Compliance with a legal, administrative or judicial obligation.

Where circumstances permit, Chatbot App Limited shall inform the User in advance of the proposed action, the reasons for it and the possibility of remedying the breach within a reasonable period.

In serious or urgent cases, or cases relating to fraud, security, unlawful activity, risks to third parties or legal compliance, suspension or termination may take effect immediately and without prior notice.

Where termination results from a breach attributable to the User, there shall be no automatic entitlement to a refund for any period already paid for, without prejudice to any mandatory rights available to the User under applicable law.

If Chatbot App Limited permanently discontinues a paid service before the end of the purchased period for reasons not attributable to the User, it shall provide reasonable advance notice and, where appropriate:

Allow the User to continue using the service until the end of the paid period.
Provide an equivalent feature.
Convert any outstanding credits or benefits.
Provide a proportionate refund for the period or service that the User is unable to use.

The suspension or cancellation of a subscription shall not necessarily result in the immediate deletion of the account, conversations, memory or personal data.

Data shall be deleted, retained or restricted in accordance with the Privacy Policy, the applicable retention periods and the relevant legal obligations.

When an account is deleted, the User may lose access to conversations, documents, projects, credits, settings and memory items that have not previously been exported.

Provisions which, by their nature, are intended to continue in effect after termination shall remain in force, including those relating to:

Intellectual and industrial property.
User content and responsibilities.
Outstanding payments.
Limitations of liability.
Dispute resolution.
Data protection and retention.
Any other obligation that should reasonably survive termination.

7.4. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by the following rules:

Where the User is acting as a consumer, the mandatory consumer protection rules of the country in which the User is habitually resident shall apply, provided that the Platforms direct their activities to that territory.
For consumers resident in Spain, mandatory Spanish and European Union consumer protection law shall apply.
The choice of governing law shall not deprive a consumer of the protection afforded by mandatory provisions that would apply in the absence of that choice.
In relationships with Users acting exclusively in the course of a business or professional activity who are not consumers, these Terms shall be governed by the laws of Hong Kong.

Disputes involving consumers shall be determined by the courts having jurisdiction under applicable law.

A consumer may bring proceedings before the courts of their place of residence where this is permitted by the relevant law.

Chatbot App Limited may bring proceedings against a consumer only before the courts having jurisdiction under the applicable mandatory rules.

In relationships with business or professional Users who are not consumers, the parties submit, unless mandatory law provides otherwise, to the jurisdiction of the competent courts of Hong Kong.

Before commencing legal proceedings, the parties shall seek in good faith to resolve any dispute through direct communication at [email protected].

This prior negotiation:

Shall not prevent either party from seeking interim or urgent relief.
Shall not limit the consumer’s right to refer the matter to the competent authorities or courts.
Shall not suspend or alter any statutory limitation period for bringing a claim unless applicable law expressly provides otherwise.

7.5. Severability

If any provision of these Terms is declared wholly or partly void, invalid, unlawful or unenforceable by a competent authority or court, that provision shall be deemed excluded, limited or adapted only to the extent necessary.

The invalidity or unenforceability of a provision shall not affect the validity of the remaining Terms, provided that the agreement can reasonably continue in effect without that provision.

Where legally possible, the affected provision shall be replaced or interpreted by means of a valid rule that most closely reflects its original purpose, without:

Reducing the User’s mandatory rights.
Imposing disproportionate obligations.
Creating an imbalance contrary to good faith.
Substantially altering the purpose of the agreement.

7.6. Waiver and Exercise of Rights

A failure or delay by either party in exercising any right, power or remedy under these Terms shall not constitute a waiver of that right or prevent its subsequent exercise.

The partial exercise of a right shall not prevent:

Its further exercise.
The exercise of other rights.
Subsequent action in respect of further breaches.

Any contractual waiver must be clear and express.

No waiver may affect any mandatory rights granted to the User under applicable law.

7.7. Contact Details and Notices

For any question, enquiry, complaint or notice relating to these Terms and Conditions, the User may contact Chatbot App Limited using the following details:

Responsible entity: Chatbot App Limited

Business Registration Number: 79362831

Registered office: [FULL REGISTERED OFFICE ADDRESS OF CHATBOT APP LIMITED IN HONG KONG]

Email: [email protected]

Telephone: [CONTACT TELEPHONE NUMBER OF CHATBOT APP LIMITED]

Platforms: rescrito.com, aithor.ai and aithor.io

Where a request concerns a subscription, payment, account, conversation, memory or personal data, the User must send the communication from the email address associated with their account.

Chatbot App Limited may request additional information that is reasonably necessary to verify the User’s identity and prevent unauthorised access, changes, cancellations or deletions.

Notices to the User may be sent through:

The email address associated with their account.
Notices within the Platforms.
Notifications within the mobile applications.
Push notifications, where enabled.
Communications sent by Apple, Google or the provider managing a purchase or subscription.
Any other appropriate durable medium.

The User is responsible for keeping their email address up to date and reviewing communications relating to their account.

A notice shall be deemed received when it has been successfully sent to the most recent email address provided, displayed in the account or made available through the relevant channel, unless applicable law provides otherwise.

Chatbot App Limited shall handle communications in good faith and within a reasonable period, taking into account their nature, complexity and any time limits established by applicable law.

7.8. Mobile Applications and Application Stores

Where the User downloads or uses a Rescrito or Aithor application distributed through the Apple App Store, Google Play or another application store, the User must also comply with the relevant provider’s terms and rules of use.

These Terms are entered into between the User and Chatbot App Limited, and not between the User and Apple, Google or the relevant application store.

Chatbot App Limited, and not the application store, is responsible for:

The Rescrito and Aithor applications and their content.
The provision of the service.
Any applicable maintenance and technical support.
Handling claims relating to the applications.
Compliance with applicable law.
Claims relating to intellectual property, privacy, consumer protection or the operation of the applications, to the extent required by law.

Apple, Google and other application-store providers shall not be required to provide maintenance or support for Rescrito or Aithor unless their own terms expressly provide otherwise.

The licence granted to use a mobile application is personal, limited, non-exclusive and non-transferable and is subject to these Terms and the rules of use of the relevant store.

For applications distributed through the Apple App Store, the licence permits the User to use the application on Apple-branded products that the User owns or controls, in accordance with Apple’s usage rules, including any shared-use arrangements permitted under those rules where applicable.

Where an application downloaded through the Apple App Store fails to conform to an applicable legal warranty, the User may notify Apple where permitted by Apple’s terms. Apple may refund the price paid for downloading the application, if any, without assuming any other warranty obligations beyond those set out in its own terms and applicable law.

Purchases, subscriptions and refunds processed directly by Apple, Google or another store shall be managed in accordance with that provider’s tools, terms and procedures.

The User must comply with applicable third-party terms when using the application, including the terms of their internet access provider, mobile network provider, operating system and application store.

The User represents that they are not subject to sanctions, embargoes or trade restrictions that legally prevent them from accessing or using the applications.

In relation to applications for iOS, Apple and its subsidiaries shall be third-party beneficiaries of these Terms. Upon the User’s acceptance of these Terms, Apple shall have the right to enforce the provisions applicable to the application distributed through the Apple App Store.

Apple’s status as a third-party beneficiary does not make Apple a party to the principal agreement between the User and Chatbot App Limited or impose liability on Apple for the provision of Rescrito or Aithor.

7.9. Languages and Versions of the Terms

Chatbot App Limited may make these Terms and Conditions available in Spanish, English, Portuguese and other languages.

The purpose of the translations is to enable Users to understand the terms applicable to the Platforms.

The version presented to and accepted by the User during the registration or purchase process shall apply to that contractual relationship, without prejudice to any applicable mandatory rules.

Where there are differences, translation errors or inconsistencies between versions, the provisions shall be interpreted:

Having regard to the purpose and general meaning of these Terms.
Consistently with the offer and terms displayed during the purchase process.
In accordance with the principle of good faith.
Without reducing the User’s mandatory rights.
In accordance with the applicable consumer protection rules.

Chatbot App Limited shall endeavour to keep the different language versions consistent and up to date.

An update to one version shall be reflected in the other versions within a reasonable period where the change is relevant to Users of those languages.

  1. External Services
    8.1. General Description

To ensure the operation, scalability, security and functionality of Rescrito and Aithor, Chatbot App Limited integrates technologies, infrastructure, models and services provided by third parties.

These external services may be involved in the operation of the websites, web applications, mobile applications for iOS and Android, authentication systems, payments, communications, analytics, conversational memory and other features associated with the Platforms.

Providers are selected having regard, among other criteria, to:

Their availability and stability.
Their performance and technical capacity.
Their security and privacy measures.
Their compatibility with the Platforms.
Their cost and commercial terms.
Their location and infrastructure.
Their suitability for the specific feature.
The available contractual and legal safeguards.

The use of external services does not mean that all providers are involved in every feature or that they receive all User data.

Only the data reasonably necessary for each provider to deliver the relevant feature, maintain security, manage the contractual relationship or comply with legal obligations shall be transmitted or otherwise made available, in accordance with the Privacy Policy and applicable law.

8.2. Integrated Providers and Services

Depending on whether Rescrito or Aithor is used, the feature selected, the plan purchased, the region, device and access channel, external services may include, among others:

Google Cloud and Firebase: infrastructure, hosting, storage, databases, authentication, messaging, synchronisation and technical functions.
Apple, Google and other authentication providers: account creation and sign-in through external services.
Stripe, the Apple App Store, Google Play and other payment providers: payment processing, subscriptions, restoration of purchases, billing, refunds and fraud prevention.
OpenAI, Google, Anthropic, Mistral AI, DeepSeek and other artificial intelligence providers: processing instructions, prompts, conversations, documents, images, audio recordings, files and other content in order to generate the requested outputs.
Providers of embeddings, semantic search, vector databases or contextual storage: retention, indexing and retrieval of information necessary to provide conversational memory, search and personalisation features.
Mailgun and other communications providers: sending authorised transactional, operational and marketing emails.
Apple Push Notification Service, Firebase Cloud Messaging and similar services: sending push notifications to authorised devices.
Google Analytics, Hotjar, Yandex Metrica and other analytics tools: measuring the use, performance and operation of the Platforms where such tools are enabled and, where applicable, after obtaining the User’s consent.
Diagnostic and monitoring tools: identifying errors, crashes, performance issues, synchronisation failures and technical incidents affecting the websites and mobile applications.
Security, monitoring and fraud-prevention providers: protecting accounts, detecting suspicious activity, preventing abuse and ensuring service continuity.
Support, maintenance and User service providers: managing enquiries, incidents and communications relating to the Platforms.
Application stores and distribution platforms: publishing, downloading, updating and managing the mobile applications.

The above list is illustrative and not exhaustive. Not all listed providers are necessarily involved in every interaction, and the provider used may vary depending on the tool, model, content format, region or technical availability.

Some external services may be subject to their own terms, privacy policies and conditions of use, particularly where:

The User interacts directly with the provider.
The User uses an external sign-in system.
The User makes a purchase through an application store.
The User manages a subscription or refund through Apple, Google or another platform.
The User accesses an integration offered by a third party.

Certain providers shall act on behalf of Chatbot App Limited as processors or sub-processors. Others may act as independent controllers in relation to operations for which they determine the purposes and means themselves, particularly in connection with payments, application stores, fraud prevention and regulatory compliance.

Information concerning the processing of personal data, recipients, international transfers and the functions of these providers is available in the Privacy Policy or in the current list of providers published by Chatbot App Limited.

8.3. Operation of and Liability for External Services

Chatbot App Limited takes reasonable measures to select providers that offer technical, operational, contractual, legal and security safeguards appropriate to the services provided.

However, external services are developed and managed by independent entities and may experience:

Interruptions or periods of unavailability.
Delays or performance issues.
Errors or technical failures.
Changes to their features or interfaces.
Changes to their models, algorithms or outputs.
Capacity or usage limits.
Security incidents.
Changes to their prices, policies or terms.
Geographical or regulatory restrictions.
The permanent withdrawal of products or services.
Decisions by Apple, Google or other stores concerning the publication or updating of applications.

Chatbot App Limited shall not be liable for damage arising exclusively from an action, interruption, limitation or failure attributable to an external provider where it is outside Chatbot App Limited’s reasonable control and could not have been prevented or avoided through proportionate measures.

The above shall not exclude or limit Chatbot App Limited’s liability where:

The damage results from negligent selection or supervision of the provider.
Reasonable measures were not taken to reduce the impact of a known incident.
Chatbot App Limited has breached a contractual or legal obligation directly binding upon it.
Liability cannot be excluded under applicable law.
The User’s mandatory rights as a consumer are affected.
There is a lack of conformity of the purchased digital content or service.
The incident affects the protection of personal data and Chatbot App Limited is liable under applicable law.

Where an incident involving a provider materially affects Rescrito or Aithor, Chatbot App Limited shall, depending on the circumstances, endeavour to:

Investigate the issue.
Reduce its impact.
Restore the feature.
Temporarily or permanently change provider.
Provide an alternative solution.
Inform the User where necessary.
Apply any remedies required under applicable law.

Chatbot App Limited does not guarantee that any particular provider, artificial intelligence model, memory service, payment system or integration shall remain permanently available.

8.4. Changes to Integrated Services

Chatbot App Limited may introduce, replace, modify or cease using providers, models, infrastructure, SDKs, integrations and external services for reasons that are:

Technical or operational.
Legal or regulatory.
Commercial or economic.
Related to security and privacy.
Related to availability or performance.
Related to compatibility with devices or operating systems.
Related to changes in a provider’s terms.
Related to requirements imposed by the Apple App Store, Google Play or other platforms.
Intended to improve features or the User experience.

Such changes may result in a feature using a different artificial intelligence model, provider, storage system, infrastructure or technology.

Replacing a particular provider shall not necessarily require these Terms to be amended where:

The essential nature of the feature is maintained.
The purchased service is not significantly reduced.
Appropriate security and data protection safeguards are maintained.
The User’s rights are not materially affected.

Where a change introduces a new purpose of processing, a new relevant category of personal data, a substantially different recipient or an international transfer requiring additional information, Chatbot App Limited shall update the Privacy Policy or provide the relevant information.

Where a change has a significant adverse effect on:

A feature included in a paid service.
The availability or essential quality of the purchased service.
The processing of personal data.
The User’s rights or obligations.

Chatbot App Limited shall provide reasonable advance notice by email, through a notification within the Platforms, an in-application notice or any other appropriate durable medium.

If the change significantly impairs access to or use of purchased digital content or a digital service, the User may exercise any rights available under applicable law, including, where appropriate:

Cancelling the renewal.
Terminating the contract without penalty.
Receiving a proportionate price reduction.
Receiving a refund for the portion of the service that could not be used.

  1. Intellectual and Industrial Property Rights
    9.1. Ownership of the Platforms

Rescrito and Aithor, including their websites, web applications, mobile applications, extensions, interfaces, APIs, software, source code and object code, architecture, designs, documentation, databases, configurations, operational workflows, taxonomies, templates, proprietary instructions, memory and personalisation systems, text, graphics, images, trade marks, trade names, logos, domains and other proprietary elements incorporated into the Platforms, are owned by Chatbot App Limited or are used under valid licences, authorisations or agreements with third parties.

Artificial intelligence models, libraries, SDKs, components, content, trade marks and technologies provided by third parties belong to their respective owners and may be subject to their own licences, terms of use and restrictions.

The elements of the Platforms are protected under applicable laws relating to intellectual property, industrial property, unfair competition, trade secrets, database protection and other applicable national and international legislation.

Nothing in these Terms transfers to the User any ownership rights in Rescrito, Aithor or their technological, creative, documentary or distinctive elements.

The availability of a feature, interface, model, template or tool within the Platforms does not grant the User any rights in the underlying technology used to provide it.

9.2. Limited Licence to Use

Chatbot App Limited grants the User a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence, in accordance with these Terms, to access and use Rescrito and Aithor for the period during which the User maintains a valid account, has usable credits or holds an active subscription.

Where available, the licence covers the use of:

The websites and web applications.
The mobile applications for iOS and Android.
Official extensions and integrations.
Interfaces, tools and features made available to the User.
Updates and new versions compatible with the User’s device and plan.

The licence permits the Platforms to be used for lawful educational, academic, personal or professional purposes, within the features, limits and conditions applicable to the plan purchased.

This licence does not grant the User any right to reproduce, modify, distribute, communicate to the public, commercialise, sublicense or otherwise exploit the software, interfaces, documentation, databases, configurations, internal systems or other proprietary elements of the Platforms.

Nor does it authorise reverse engineering, decompilation, disassembly, analysis intended to obtain source code or the extraction of internal instructions, private configurations or security mechanisms, except to the extent that such activities are expressly permitted by mandatory law and cannot be contractually excluded.

The licence shall end when:

The User deletes their account.
The User’s subscription or right of access ends.
Purchased credits or resources are exhausted in relation to the features subject to them.
Chatbot App Limited justifiably suspends or terminates access in accordance with these Terms.
The conditions necessary to use the relevant Platform are no longer met.

The termination of the licence shall not affect any rights the User may have in their Content or Outputs under clause 9.4.

9.3. Restrictions on Use

Unless Chatbot App Limited has provided prior express authorisation, or applicable law permits otherwise, the User agrees not to:

Copy, clone, reproduce or substantially reuse the design, structure, software, interfaces, features or experience of the Platforms in order to develop a similar or competing product or service.
Extract data, content, responses, files, structures or features on an automated, large-scale or systematic basis using scraping, bots, scripts, data mining or similar techniques.
Use the systems, content or Outputs of the Platforms to train, develop, evaluate or improve a competing model or service through large-scale, systematic or unauthorised extraction.
Create proprietary databases by systematically collecting Outputs or content obtained from the Platforms.
Circumvent security measures, usage limits, access controls, payment systems or technical restrictions.
Conduct penetration testing, vulnerability assessments or attempts to access internal systems without prior authorisation, except where carried out under an expressly established vulnerability disclosure programme.
Resell, rent, sublicense or provide third parties with access to an account or subscription unless the plan purchased expressly permits use by multiple members.
Use the Rescrito or Aithor trade marks, logos, domains or other distinctive signs of Chatbot App Limited without prior written authorisation.
Register or use domains, profiles, trade names or signs that may cause confusion with Rescrito, Aithor or Chatbot App Limited.
Remove, conceal or alter intellectual property notices, attributions, trade marks or technical measures incorporated into the Platforms.
Use documentation, interfaces, templates or proprietary elements of the Platforms in a manner that may falsely imply the existence of an association, authorisation or sponsorship.

These restrictions do not prevent the User from lawfully using generated Outputs for personal, academic, professional or commercial purposes in accordance with the following clause, applicable law, the terms of the plan and third-party rights.

9.4. User Content and Generated Outputs

For the purposes of these Terms:

“User Content” means prompts, instructions, text, documents, files, images, audio recordings, videos, links and other information provided, selected or uploaded by the User.
“Outputs” means responses, text, images, analyses, summaries, translations, presentations and other content generated by the Platforms from the User’s instructions or User Content.

The User retains any rights they hold in their User Content. Chatbot App Limited does not acquire ownership of User Content merely because it is uploaded, stored or processed through Rescrito or Aithor.

The User grants Chatbot App Limited a non-exclusive, royalty-free and limited licence to host, reproduce, technically adapt, transform, index, transmit and process their User Content solely to the extent necessary to:

Provide the requested features.
Generate and deliver the Outputs.
Store, organise and synchronise conversations, documents and projects.
Provide search, conversational memory and personalisation features where available and enabled.
Convert files or content into technically compatible formats.
Provide technical support.
Detect and prevent fraud, abuse, unlawful content and security incidents.
Comply with legal obligations and valid requests.
Apply and enforce these Terms.

This licence does not authorise Chatbot App Limited to commercialise User Content as standalone products or use it for purposes incompatible with those described above.

The licence shall end when the User Content is deleted from the Platforms, except in relation to:

Temporary backup copies.
Information included in memory items that the User has not separately deleted.
Data that must be retained to comply with legal obligations.
Information necessary to establish, exercise or defend legal claims.
Irreversibly anonymised information that no longer allows the User to be identified or their User Content to be reasonably reconstructed.

Deleting a conversation shall not necessarily result in the deletion of information previously added to conversational memory where those features are managed separately.

Chatbot App Limited does not claim ownership of Outputs generated for the User.

To the extent that Chatbot App Limited may hold rights in such Outputs, it grants the User, on a non-exclusive basis, the rights necessary to:

Use them.
Reproduce them.
Modify and adapt them.
Publish and communicate them.
Distribute them.
Incorporate them into other content.
Exploit them commercially.

This authorisation is subject to:

Applicable law.
Third-party intellectual property, industrial property, image, privacy, confidentiality and other rights.
The terms of the technology providers used.
The terms and limits of the plan purchased.
Applicable academic, professional, employment-related, contractual or institutional rules.
The restrictions relating to unlawful or prohibited activities established in these Terms.

The authorisation relating to Outputs does not grant rights in:

Third-party trade marks, logos or distinctive signs that may appear in them.
Third-party works or content that the User provided or requested to be incorporated.
Protected elements in respect of which Chatbot App Limited has no legal authority to grant rights.
Technologies, models, interfaces, templates or internal systems used to generate the Output.

Due to the nature of artificial intelligence, Chatbot App Limited does not guarantee that Outputs:

9.5. Reporting Infringements

Any person or entity that believes content made available, stored or generated through Rescrito or Aithor infringes their intellectual or industrial property rights may report it by writing to [email protected].

Where possible, the notice should include:

The identity and contact details of the complainant.
Identification of the work, trade mark, content or right allegedly infringed.
The location, link, identifier or a sufficiently detailed description of the content concerned by the complaint.
A clear explanation of the alleged infringement.
Documentation or information demonstrating ownership of the right or authorisation to act on behalf of the rights holder.
A good-faith statement confirming that the information provided is accurate and that the reported use is not authorised by the rights holder, their representative or applicable law.

Chatbot App Limited may request additional information where necessary to:

Identify the content.
Verify the complainant’s standing.
Assess the notice.
Prevent fraudulent or abusive complaints.
Comply with the relevant legal obligations.

Where there are reasonable grounds to suspect an infringement, Chatbot App Limited may:

Temporarily remove or block the content.
Restrict access to or use of it.
Suspend certain features.
Preserve the necessary information and evidence.
Request explanations from the responsible User.
Take action in relation to the relevant account.
Disclose information to authorities where legally required.

Where appropriate, the affected User shall be informed and allowed to provide explanations, authorisations or documentation before a final decision is made.

This procedure may be omitted where there is:

A legal obligation requiring immediate removal.
A request from a competent authority.
An urgent risk to third parties.
A reasonable need to prevent further harm.
A risk that evidence may be destroyed or altered.
A reasonable suspicion of fraud or unlawful activity.

Complaints that are manifestly false, misleading, abusive or submitted without proper standing may be rejected and may give rise to liability on the part of the person submitting them under applicable law.

  1. Refund Policy
    10.1. Purpose and Scope

This Policy governs the conditions under which the User may request the return or refund of amounts paid for subscriptions, paid trial periods, credit packages or other services purchased through Rescrito or Aithor.

This Policy supplements clause 4.4 of these Terms and applies to purchases made directly from Chatbot App Limited through:

rescrito.com.
aithor.ai.
aithor.io.
The Rescrito and Aithor web applications.
Other purchase channels managed directly by Chatbot App Limited.

Where a purchase has been made through the Apple App Store, Google Play, another application store, distribution platform or external provider that directly manages charges and refunds, the request must be submitted in accordance with that third party’s procedures and terms.

This Policy does not limit any mandatory rights available to the User as a consumer under applicable law.

In the event of any conflict between this Policy, the terms displayed during the purchase process and a mandatory legal provision, the mandatory provision shall prevail and, in relation to the specific financial terms of the purchase, the information displayed to and accepted by the User during the purchase process shall apply.

10.2. Circumstances in Which a Refund May Be Available

The User may request a full or partial refund where any of the following circumstances apply:

A duplicate charge has been made.
The amount charged differs from the price displayed and accepted during the purchase process.
A renewal was processed after the User had correctly cancelled the subscription within the applicable period.
The transaction was not authorised by the holder of the payment method, once the relevant checks have been carried out.
A billing error attributable to Rescrito, Aithor or Chatbot App Limited has occurred.
A serious and continuing technical failure attributable to the Platforms has substantially prevented the User from using the purchased service.
Digital content or a digital service does not conform to the agreed terms and could not be brought into conformity within a reasonable period.
Chatbot App Limited has permanently withdrawn a paid service before the end of the purchased period without providing an equivalent alternative.
The User has validly exercised their right of withdrawal.
A refund, price reduction or termination of the contract is required under applicable law.

In the case of an allegedly unauthorised transaction, Chatbot App Limited may ask the User to cooperate with the payment provider, application store, card issuer or their bank in order to verify the transaction and prevent fraud.

Chatbot App Limited may also grant voluntary refunds in other exceptional circumstances, taking into account factors including:

The nature and seriousness of the issue.
The extent to which the service has been used.
The time at which the request was submitted.
The measures taken to resolve the issue.
The account’s history of requests and transactions.
Any other relevant circumstances of the case.

The granting of a voluntary refund in a particular case does not require Chatbot App Limited to grant a refund in similar future cases.

10.3. Circumstances in Which a Voluntary Refund Is Normally Unavailable

As a general rule, a voluntary refund shall not be granted solely on the basis of the following circumstances:

The subscription was not used or was only partially used during the purchased period.
The User forgot to cancel the renewal before the next charge.
The User uninstalled the application, signed out or stopped using the Platforms without first cancelling the renewal.
The User deleted the account without first cancelling a subscription managed by Apple, Google or another external provider.
The User changed their mind or no longer required the service after the applicable withdrawal period had expired.
The User was dissatisfied with a particular response generated using artificial intelligence, provided that the purchased feature was supplied correctly.
The User did not review or verify the Outputs before using them.
The User did not use all or part of the purchased credits before their expiry, where that expiry had been disclosed before purchase.
Content, conversations or memory items were lost as a result of deletion requested by the User.
The User breached these Terms or used the Platforms fraudulently, abusively or unlawfully.
The User experienced minor or temporary interruptions that did not substantially prevent use of the service.
The User used a device, operating system or application version incompatible with previously communicated technical requirements.
The User’s bank, card issuer or financial services provider applied fees, exchange rates or charges unrelated to Chatbot App Limited.
The User submitted a request that was manifestly false, duplicated, abusive or fraudulent.

These exclusions shall not apply where the User is entitled to a refund, having the service brought into conformity, a price reduction, termination of the contract or any other remedy under a mandatory legal provision.

10.4. Right of Withdrawal

Where applicable, a User acting as a consumer may exercise their right of withdrawal within the applicable statutory period from the date on which the contract is entered into, without having to provide a reason.

Before purchase, the User shall be informed of:

Whether the right of withdrawal exists.
The duration of the withdrawal period.
How the right may be exercised.
The channel through which the request must be submitted.
The circumstances in which the right may be lost.
The possibility of having to pay a proportionate amount for the service already supplied.

Where the User expressly requests that the provision of a service begin during the withdrawal period, they may be required to pay a proportionate amount for the service actually supplied up to the time at which they communicate their decision, where permitted by applicable law.

In the case of digital content not supplied on a tangible medium and delivered immediately, the right of withdrawal may cease to apply where:

The User has given prior express consent for the supply to begin.
The User has expressly acknowledged that, by doing so, they lose the right of withdrawal.
The relevant contractual confirmation has been provided to the User.
All other requirements established under applicable law have been met.

These rules do not affect the User’s rights where:

The service is defective.
The digital content or service does not conform to the contract.
An incorrect charge has been made.
The Platform has not substantially provided the purchased feature.
Any other circumstance giving rise to legal liability exists.

Where the purchase was made through Apple, Google or another external provider, the right of withdrawal or the relevant request may need to be exercised through the procedures of the provider that entered into or managed the transaction.

10.5. Request Procedure

To request a refund for a purchase invoiced directly by Chatbot App Limited, the User must write to [email protected] from the email address associated with their account.

Where possible, the request should include:

The account name or identifier.
The email address linked to the subscription.
The Platform or channel through which the purchase was made.
The date and amount of the charge.
The currency of the transaction.
The order number, transaction identifier, receipt or proof of payment.
The reason for the request.
Information or documentation enabling the issue to be verified.

Chatbot App Limited may request additional information that is strictly necessary to:

Locate the transaction.
Verify the applicant’s identity.
Confirm ownership of the account or payment method.
Assess the issue.
Prevent fraudulent or duplicate requests.

The User shall not be required to provide an extensive justification when exercising a right that does not require them to give reasons for their decision, such as the right of withdrawal where applicable.

Requests for additional information shall not be used to unjustifiably obstruct the exercise of the User’s rights.

Requests shall be reviewed objectively, proportionately and within a reasonable period. Where a specific statutory time limit applies, Chatbot App Limited shall handle the request within that period.

Chatbot App Limited shall notify the User of the approval, refusal or need for additional information using the email address associated with the request.

Where a request is refused, a reasonable explanation shall be provided unless legal, security or fraud-prevention reasons prevent certain details from being disclosed.

10.6. Processing of Refunds

Where a refund is due:

It shall generally be made using the same payment method used for the purchase.
A different method may be used where the User expressly accepts it and it does not result in additional costs.
It shall be processed without undue delay.
Where it results from the valid exercise of the right of withdrawal, a price reduction or termination of the contract, it shall be made within the maximum period established by applicable law.
Where appropriate, it may be limited to the proportionate part of the period during which the service did not conform or could not be used.
The subscription, credits, access period or features associated with the refunded amount may be cancelled, withdrawn or adjusted.
Access to the service may end from the time of the refund where the refund covers the entire purchased period or product.
Promotional or additional credits linked to a refunded purchase may also be withdrawn.

Where the refund relates only to part of the service, Chatbot App Limited may keep unaffected features, credits or periods active.

Once the refund has been issued, the time required for the amount to appear in the User’s account shall depend on the bank, card issuer, application store or payment provider.

Such external processing times are not under Chatbot App Limited’s direct control.

The User must not simultaneously request a refund from Chatbot App Limited and a chargeback, return or dispute relating to the same transaction through their bank, Apple, Google or another provider.

Where duplicate procedures relating to the same transaction are detected, processing may be suspended until their status has been verified and a duplicate refund can be prevented.

10.7. Purchases Made through Third Parties

Where a purchase has been made through the Apple App Store, Google Play or another external store, platform or distributor that directly manages the charge, the User must request the refund using the procedures made available by that provider.

Eligibility requirements, time limits, documentation, approval, refusal and the method of refund shall be subject to the relevant provider’s policies and decisions and applicable law.

Chatbot App Limited may:

Help the User identify the purchase channel.
Provide information to help locate the account or subscription.
Provide technical information concerning the operation of the service.
Confirm, where possible, the access status associated with the purchase.
Reasonably cooperate with the provider handling the complaint.

However, Chatbot App Limited does not control the approval, refusal or processing times of refunds managed directly by Apple, Google or other third parties.

Uninstalling the application, deleting the Rescrito or Aithor account or not using the service does not automatically cancel a subscription managed by an external store.

Before deleting their account, the User must check and, where applicable, cancel the renewal through the Apple, Google or other provider account through which the subscription was purchased.

10.8. Changes to this Policy

Chatbot App Limited may amend this Policy to adapt it to changes that are:

Legal or regulatory.
Technical or operational.
Related to payment methods.
Related to stores or purchase channels.
Related to commercial options.
Related to the features or services offered.

The current version shall be available on the Platforms and shall state the date on which it was last updated.

Changes shall not adversely affect requests submitted before they take effect or limit rights already acquired by the User.

Requests shall be assessed in accordance with:

The terms accepted during the purchase process.
The Policy in force at the relevant time.
Applicable law.
The channel through which the purchase was made.

Where a change is material, it shall be communicated with reasonable advance notice by email, through a notification within the Platforms, by a notice in the mobile applications or by any other appropriate durable medium.

Conclusion and Acceptance of the Terms

By creating an account, purchasing a subscription, acquiring credits, starting a trial or expressly accepting these Terms and Conditions through the mechanisms provided, the User confirms that they have read, understood and accepted them.

These Terms constitute a binding agreement between the User and Chatbot App Limited and govern access to and use of Rescrito and Aithor through rescrito.com, aithor.ai, aithor.io, their web applications, mobile applications for iOS and Android, extensions, integrations, features and associated services.

Merely accessing the informational pages of the Platforms or downloading an application shall not, in itself, constitute acceptance of contractual obligations that require express consent. However, the creation of an account, the purchase of a service or access to certain features may be conditional upon prior acceptance of these Terms.

Acceptance of these Terms does not constitute general consent to all processing of personal data. Where a processing activity requires consent, such consent shall be requested separately, specifically and on an informed basis in accordance with the Privacy Policy.

The current version shall remain permanently available on the Platforms and shall state the date on which it was last updated. From its effective date, that version shall replace all previous versions, without affecting accrued rights or the terms applicable to periods already purchased where applicable law provides otherwise.

Material changes shall be communicated in accordance with clause 1.3. Where applicable law requires renewed express acceptance, the User must accept the changes before continuing to use the affected features.

If the User does not accept these Terms or a change requiring their express consent, they must refrain from creating an account, purchasing or using the relevant features and, where applicable, may cancel their subscription in accordance with these Terms.
